CONSTITUTION

PASADENA SOCIETY OF ARTISTS, INC. A California Non-Profit Corporation
This document supersedes the Constitution and By Laws of Pasadena Society of Artists dated June 18, 1992 and amended in 1994. On January 26, 1997, this new Constitution and By Laws was approved by a unanimous vote of the member in attendance at the meeting on that date and by written vote mailed by other members who were unable to attend the meeting.
 
ARTICLE I – NAME
The name of this organization shall be “Pasadena Society of Artists, Inc.” also known as “P.S.A.”, as designated in the Amended Articles of Incorporation. P.S.A. is a membership corporation incorporated in the state of California in 1954 and it is not organized for profit.
 
ARTICLE II – PURPOSE
The purpose of this Society is to cultivate and promote art education and appreciation by means of exhibitions, lectures, and other art activities, including those aimed at promoting friendly relations between the American people and peoples of other parts of the world.
 
ARTICLE III – CONTROL
The control and government of the Society shall be vested in the Board of Directors. P.S.A.’s Official Seal, in the conventional form, indicating the date of incorporation and the name of the corporation, shall be procured by the Recording Secretary, and controlled and maintained by the Parliamentarian. It is to be impressed upon all documents of the corporation requiring authentication by seal.
 
ARTICLE IV – AMENDMENTS
The Constitution and By-Laws may be amended at any regular general meeting by a two-thirds vote of those present and voting.

BY-LAWS

ARTICLE I – QUORUM
One-tenth of the Voting Members shall constitute a quorum for all voting. The quorum of the Board shall be six.
 
ARTICLE II – MEMBERSHIP

Section 1. The membership shall comprise four membership classifications: Active Artist, Honorary Artist, Honorary, and Patron.

Section 1.1 Active Artist Members Shall be artists accepted by P.S.A. who have met the membership requirements.

Section 1.2 Honorary Artist Members Shall be (1) Artists of pre-eminence who are invited by the Board to become members; or (2) Active Artist Members who the Board wishes to honor for outstanding service to P.S.A. Honorary Artist Members shall be appointed for life and are not required to pay dues.

Section 1.3 Honorary Members Shall be those persons who are so designated by the Board of Directors in recognition of service to P.S.A. Honorary Members shall be appointed for life and are not required to pay dues.

Section 1.4 Patron Members Shall be persons interested in art who wish to support P.S.A. patron Membership is for one year and is renewable annually at the discretion of the Patron Member.

Section 2. Voting Membership The voting Membership shall consist only of Active Artist Members and Honorary Artist Members.

 
ARTICLE III – OFFICERS

Section 1. The officers shall be President, First Vice President (Exhibitions), Second Vice President (Programs), Recording Secretary, Corresponding Secretary, Treasurer, Parliamentarian, and the Past President.

Section 2. All officers shall be elected for one year and must be Active Artist Members or Honorary Artist Members in good standing.

Section 3. Duties of Officers

Section 3.1 President Shall preside at all general and Board Meetings in accordance with parliamentary procedures. Shall represent P.S.A. in the community. Shall organize, publish, distribute to all members, and keep current, a Master Calendar of P.S.A. Activities.

Section 3.2 First Vice President (Exhibitions) In the absence of the President, the First Vice President shall assume and perform all duties of the office. Shall be responsible for arranging and handling all of P.S.A. art exhibits. Shall report all proposed exhibition plans to the Board of Directors and obtain Board approval before finalizing exhibition plans.

Section 3.3 Second Vice President (Programs) Shall serve as Program Chairperson and arrange programs for the General Meetings and other P.S.A. events as requested.

Section 3.4 Recording Secretary Shall record and preserve the Minutes of all Board and General Meetings and maintain a record of the names of all persons who attend. Shall read the Minutes at each meeting and correct as necessary. Minutes must be approved at each meeting. If unable to attend a meeting, the Secretary shall arrange for a substitute to perform these duties. Shall send a copy of the Minutes of all meetings to the Newsletter Chairperson. Shall distribute copies of the Minutes of each meeting to all Board Members.

Section 3.5 Corresponding Secretary Shall notify Board Members of Board Meetings. Shall be responsible for any correspondence required by the Board. Shall send, as needed, cards of condolences, get-well wishes, congratulations, etc.

Section 3.6 Treasurer Shall receive dues and all other income and maintain a record of all receipts and disbursements. Shall report the organization’s current fiscal status at every P.S.A. meeting. At the end of each fiscal year, the Treasurer shall issue an Annual Report, including all revenue and expenditures. At all P.S.A. exhibitions where entry fees are charged, the Treasurer or an appointee shall collect and record the fees paid. Shall file P.S.A.’s official tax returns and other fiscal documents as necessary. Shall be the primary signatory of the bank account. The President and a designated Active Artist Member also shall be authorized signatories on the bank account.

Section 3.7 Parliamentarian Shall attend meetings to advise the Chair and any other member as requested on parliamentary procedures. Shall see that procedural details and parliamentary requirements are observed according to Robert’s Rules of Order. Shall serve as custodian of the official copy of the Pasadena Society of Artists’ Constitution and By-Laws. Shall be responsible to notate changes to these official documents as actions are defined by the Board of Directors and General Membership. Shall advise the Nominating Committee, and/or other committees as requested, on proper procedures. Shall maintain possession of the official seal of P.S.A.

Section 3.8 Past President Shall serve as Advisor to the Board for the year subsequent to being President.

 
ARTICLE IV – BOARD OF DIRECTORS
The Board of Directors shall consist of the Officers and the Chairpersons of the Standing Committees, and shall control all of the business of P.S.A. and shall make the appointments necessary to fill vacancies on the Board of Directors. ARTICLE V STANDING COMMITTEES
 
ARTICLE V – STANDING COMMITTEES

Section 1. The Standing Committees, in alphabetical order, shall be: Annual, Nominating, Arts Council, Patron, Exhibition, Graphics & Printing, Historian, Programs, Hospitality, Publicity, Member at Large, Slide Registry Membership, Telephone, Newsletter, Ways and Means

Section 2. The Board of Directors shall appoint all committee chairpersons and each chairperson shall select the committee members.

Section 3. The term of office shall be one year.

Section 4. Duties of Committees

Section 4.1 Annual Committee Together with the Exhibition Committee, shall arrange the place, date, and other particulars for the Pasadena Society of Artists’ Annual Exhibition. Shall get Board approval of all plans for the event. Shall assemble artworks and hang the exhibition. Shall provide the Printing and Graphics Chairperson with the text for preparing and printing the entry forms, catalogs, invitations, etc. Shall abide by all items in the approved “Exhibition Standards and Policies.”

Section 4.2 Arts Council Gallery Committee Shall make all arrangements for P.S.A. exhibitions which will be mounted in the Pasadena Arts Council Gallery. Shall serve as liaison between P.S.A. and the Arts Council. Shall abide by all items in the approved “Exhibition Standards and Policies.”

Section 4.3 Exhibition Committee (First Vice President) Under the guidance of the First Vice President, shall arrange details, including dates, place, etc., for P.S.A.-sponsored art exhibitions. Shall assemble and hang works of art. Shall employ a juror or jury for the exhibits as approved by the Board of Directors. Shall advise the Printing and Graphics Committee as to the text and printing requirements for the necessary entry forms, catalogs, invitations, etc. Shall abide by all items in the approved “Exhibition Standards and Policies”.

Section 4.4 Historian Shall collect and preserve all data pertaining to P.S.A.’s activities. Shall mount the items into appropriate archival scrapbooks. Archival scrapbook materials for this purpose will be provided at P.S.A.’s expense for retention of the historical records.

Section 4.5 Hospitality Committee Shall arrange to serve refreshments at all of P.S.A. General Meetings and art show openings. Shall arrange for P.S.A.’s social affairs and/or dinners, etc. Shall advise the Board of all plans and request approval for all major expenditures.

Section 4.6 Member-at-Large Shall be a past member of the Board of Directors and shall attend meetings and assist with special assignments.

Section 4.7 Membership Committee Shall see that all announcements concerning membership are properly printed and distributed. Shall process all membership applications forms. Shall arrange and oversee a juried selections for membership. The Membership Committee, together with the Board of Directors, shall decide on the requirements and process for new member selection. Each applicant for membership is required to present three pieces of art on the day of membership selection. Members who have not paid dues for two years are obliged to reapply for membership and be processed through the jury selection.

Section 4.8 Newsletter Committee Shall gather and edit items for the newsletter, write copy, have the newsletter printed, and mail it to the membership. Officers and committee chairpersons are responsible for submitting, in writing, items relating to their area of interest.

Section 4.9 Nominating Committee At the February meeting, the Board shall appoint a Nominating Committee of three (3) Active Artist Members to prepare a slate of officers for the ensuing year. This slate of nominees, together with any nominations from the floor, shall be voted on by ballot at the Annual Business Meeting.

Section 4.10 Patron Committee Shall handle all correspondence with Patron Members regarding dues, invitations to Society functions, etc. Shall arrange for submission and judging of artworks to be used as the yearly Patron Member’s Gift. Selection of the annual gift is made by the Board of Directors. Shall distribute the annual Patron Member’s Gift to those who contribute for Patron Membership. Patrons may be invited to become chairpersons or committee members on the Board of Directors and Standing Committees, except Exhibition and Membership Committees.

Section 4.11 Printing and Graphics Committee Shall work with the appropriate Board Committee to prepare printed and graphic materials required for P.S.A.’s activities. These include, but are not limited to, programs, exhibition invitations, catalogs, membership cards, award certificates, and the annual P.S.A. Directory.

Section 4.12 Program Committee (Second Vice President) Shall arrange for venues and all general meeting programs in accordance with P.S.A.’s purpose. (See ARTICLE II of the Constitution.) These meetings shall be open to the general public. Shall present program plans to the Board of Directors for prior approval before making contractual agreements. Shall provide program details, in writing, to the Newsletter Editor and the Publicity Chairman in time for the information to be disseminated to the membership and the general public prior to the event.

Section 4.13 Publicity Committee Shall be responsible for P.S.A. publicity and shall supply the local newspapers with suitable advance and follow-up copy pertaining to P.S.A. activities. Shall collect copies of printed articles and send them to the Historian for the permanent records.

Section 4.14 Slide Registry Committee Shall collect and maintain a current slide registry of members’ art for use in requesting exhibitions at local galleries, museums, and/or other appropriate venues. Shall work closely with Exhibition Committee to schedule venues for P.S.A. art exhibits.

Section 4.15 Telephone Committee Shall organize a telephone tree and assign a series of phone numbers to Active Artist Members in order to notify the membership of pertinent information that needs disseminating orally. It shall be the Board’s responsibility to notify the chairman of this committee to activate the telephone tree.

Section 4.16 Ways and Means Committee Shall be responsible for money-raising events to supplement P.S.A.’s income for dues and other sources. These funds are to be used for awards to exhibiting artists, grants for special projects, philanthropic gifts, as well as for general P.S.A. expenses.

 
ARTICLE VI – MEETINGS

Section 1. General Meetings may be held in the months of September to May, inclusive, at the discretion of the Board of Directors. P.S.A. shall hold at least three (3) General Meetings per fiscal year.

Section 2. Board meetings shall be held monthly at a time and place to be designated by the President.

Section 3. The Annual Business Meeting for the election of officers and for the transaction of other official business shall be held in April or May or as designated by the Board of Directors.

 
ARTICLE VII – DUES AND FEES

Section 1. All Active Members shall pay the amount of annual dues designated by the Board with the approval of the Membership at Large. Dues shall be paid before the fiscal year beginning the first day of June and ending the 31st day of May the following year.

Section 2. The amount of donation the Patron Members shall pay to qualify for the “Patron Member’s Gift” shall be specified by the Board.

Section 3. All dues are payable on June 1 and are delinquent on September 1.

Section 4. Members whose dues have not been paid by May 31 of the following year will lose membership privileges. A two-year delinquency forfeits membership.

Section 5. Dues must be currently paid to receive newsletter and before participating in Society events, such as exhibitions, voting, parties, etc.

 
ARTICLE VIII – EXHIBITORS

Only members whose dues are current may submit art work to the Exhibition Committee for P.S.A. exhibits. An entry fee will be charged for each entry. Refer to the P.S.A. EXHIBITION STANDARDS AND POLICIES, which is attached hereto and made a part of this official document.

 
ARTICLE IX – AWARDS

Section 1. On a show-to-show basis, the Board of Directors shall determine the award categories and the amount of each award.

Section 2. Announced awards will not be given if there are fewer than five entries by five different artists in any category.

Section 3. Award Donors may stipulate the type or category of art for which the award is donated. In all instances, these stipulations will be honored.
